Terms of Service

Hookfeed · Owner: Petra Vötsch · Kaethe-Loewenthal-Str. 4, 70619 Stuttgart, Germany · petra@hookfeedads.com
Version: [date], effective for all orders from that date

Draft. These terms are a draft and have not been reviewed by a lawyer. Items marked [like this] still need a decision. Do not rely on them until reviewed.

1. Scope

These terms apply to all services Hookfeed provides. Hookfeed works exclusively with businesses. By ordering, you confirm that you are acting for a business and not as a consumer. Your own terms do not apply unless Hookfeed agrees to them in writing.

2. Services

Hookfeed creates custom short-form video ads for Instagram and Facebook. Hookfeed does not publish ads, manage your ad accounts or pay for ad spend unless agreed separately in writing. The current offers are:

Each video includes the script, a hook in the first seconds and a call to action.

Revisions: A first video or single video includes 1 round of revisions. The subscription includes 2 rounds of revisions per month in total, across all videos of that month. Unused revisions do not carry over. Corrections of mistakes Hookfeed made (for example a wrong phone number) are always free and do not count as a revision. A request for a completely new concept is a new video, not a revision. Changes needed because information you provided was wrong or incomplete count as a revision. If no revision is left: with the subscription, the corrected video replaces one of the next week's videos, so you receive 2 instead of 3 new videos that week; for a first or single video, the change is charged as a new video at the current single video price.

3. Creative concept

  1. Hookfeed decides the creative concept of each video: idea, style, hook, script, visuals, music and editing. There is no separate approval of concepts before production.
  2. Hookfeed works within the facts and brand rules you have confirmed (see section 5) and never uses offers, claims or contact details you have not provided.
  3. You approve the finished video. Feedback is given through the revisions included in section 2.
  4. Dramatizations, not testimonials: People shown in Hookfeed videos are actors or AI-generated. Hookfeed does not create fake customer reviews, testimonials or endorsements. Videos that show people carry a visible note such as "Dramatization" or "Actor portrayal. AI-generated." You may not remove this note or present the people shown as real customers. Real customer testimonials are only used if you provide them together with the customer's written consent and confirm that the statement reflects that customer's honest experience.
  5. No safety or repair instructions: Videos are advertising. They do not provide instructions for repairs, installations or safety-related work, and scenes showing do-it-yourself work are presented as something to avoid, not as advice.

4. Ordering and payment

  1. You order through a Stripe payment link or an invoice from Hookfeed. The contract is formed when your payment is completed.
  2. Prices are in US dollars. Services to businesses outside Germany are not subject to German VAT (place of supply outside Germany, § 3a (2) German VAT Act). You are responsible for any taxes due in your country.
  3. Single videos are paid in advance. The subscription is billed monthly in advance and charged automatically to your payment method until cancelled.
  4. Credit: If you subscribe within 30 days after buying your first video, the price of the first video is credited in full against your first subscription month, using a personal code from Hookfeed.

5. Your information and approval

  1. You provide the facts used in your ads: business name, service area, contact details, offers, prices, conditions, required disclaimers, license numbers and brand assets. You confirm that this information is accurate and that you have the right to use the logos, images and other material you send.
  2. You name one person who approves ads on your side. Hookfeed delivers ads for review only. Nothing is marked as ready for publishing without that person's approval.
  3. Truthful, substantiated claims: You confirm that every claim you provide or approve (for example prices, response times, "licensed and insured", warranties, ratings, "best" or "cheapest" comparisons) is true, current and supported by evidence you can produce on request. Hookfeed does not verify your claims and does not add claims you have not provided.
  4. Required disclosures: You provide all disclosures your ads legally require, such as contractor license numbers where your state requires them in advertising, financing terms, offer conditions and expiry dates. Hookfeed places the disclosures you provide; it does not determine which disclosures apply to you.
  5. You are responsible for checking that approved ads, their claims and offers comply with the laws and platform rules that apply to your business, including advertising rules for your trade and state, such as rules of the Federal Trade Commission and your state's consumer protection and contractor licensing laws.
  6. Indemnification: You indemnify and hold Hookfeed harmless from claims by third parties, including competitors, trademark or copyright holders and authorities, and from reasonable legal costs, to the extent such claims arise from information or material you provided, from ads you approved, or from how you published them. Hookfeed will inform you promptly of any such claim.

6. Delivery

  1. Your first video arrives 5 business days (Germany) after you have confirmed your brand details.
  2. With the subscription, you receive 3 new videos every Monday. The first delivery is on the first Monday at least 5 business days after you confirm your brand details.
  3. Delivery times start only once all required information has been confirmed. Delays caused by missing information or late approvals do not extend Hookfeed's obligations beyond the paid period.
  4. Videos are delivered as digital files by email or download link.

7. What Hookfeed promises, and what it does not

8. Cancellation

  1. The subscription has no minimum term. You can cancel by email with 30 days' notice to the end of a calendar month.
  2. First month: In your first subscription month you can stop after 2 weeks. In that case you pay $1,500 for the first month instead of $2,200, and Hookfeed refunds or credits the difference.
  3. Hookfeed can end the subscription with the same notice. Either side can end it immediately for serious breach, for example non-payment.

9. Rights to the videos

  1. Hookfeed keeps the copyright to all videos, scripts and concepts. Once paid in full, you receive a simple, non-exclusive right to use the delivered videos to advertise your own business, without time limit, on any channel. You may not resell, sublicense or transfer this right.
  2. Hookfeed keeps the right to use templates, techniques and general ideas in its work for others.
  3. Hookfeed uses licensed or royalty-free music and stock material and does not intentionally create AI-generated people that resemble real, identifiable persons. If you supply your own music, images, footage or likenesses of people, you confirm that you hold the necessary rights and consents.
  4. Complaints by third parties: If a third party raises a plausible complaint about a video (for example about music, images, a resemblance to a real person or a claim), either side informs the other without delay. You take the affected video offline until the matter is resolved. Hookfeed may change or replace the affected scene; if the complaint concerns material Hookfeed provided, this is free of charge and does not count as a revision. Taking a video offline or replacing it is not an admission of liability.
  5. Hookfeed may show delivered videos as examples of its work, for example on its website and social media, unless you object in writing.
  6. Videos may be created with the help of AI tools. If a platform requires AI-generated content to be labeled, you are responsible for labeling it when you publish.

10. Liability

Hookfeed is liable without limitation for intent and gross negligence and for injury to life, body or health. For slight negligence, Hookfeed is liable only for breach of essential contractual obligations and limited to the typical, foreseeable damage, in any case no more than the fees you paid in the 3 months before the damage occurred. Hookfeed is not liable for the content of information or material you provide, or for ads you publish.

11. Confidentiality and data

Both sides keep the other's non-public business information confidential. Hookfeed processes personal data only to provide the services. Details are in the privacy policy.

12. Changes to these terms

Hookfeed may change these terms for future orders and, with at least 30 days' notice by email, for running subscriptions. If you do not agree, you can cancel before the change takes effect.

13. Governing law and venue

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Stuttgart, Germany, to the extent legally permitted. If any provision is invalid, the rest of these terms remain in effect.
